These terms govern your access to and use of this website, operated by Newt Dev (Pty) Ltd (registration number 2025/253940/07), a company registered in the Republic of South Africa ("Newt Dev", "we", "us" or "our"). "You" and "your" refer to any person who accesses or uses this website.

Agreement to these terms

By accessing or using this website you agree to be bound by these terms. If you do not agree, you must not use the website. We may amend these terms at any time by posting the updated version here, and your continued use of the website after we do so means you accept the change. The date above shows when these terms were last revised.

About this site

This website describes what we do. Nothing on it is an offer capable of acceptance, and nothing here forms a contract to provide any product or service. Any work we take on is governed by a separate written agreement between us and the client concerned.

Relationship between the parties

Newt Dev is a software and technology provider. We build, host and maintain software, websites and messaging services for our clients. We are not the provider of the products or services that our clients offer to their own customers through those systems.

Where you interact with a booking system, chatbot, WhatsApp service or other software built or hosted by Newt Dev, you do so as part of your relationship with our client. That client is the responsible party for its own customers' personal information and the provider of the underlying product or service. Any booking, purchase, quote or other transaction you conclude is between you and that client, on the client's terms, and Newt Dev is not a party to it. Questions about a client's products, services or bookings should be directed to that client.

Accuracy of information

We keep the information on this website current and correct as far as we reasonably can, but we do not warrant that it is complete, accurate or free of error. Descriptions of what we do are general and may not reflect what is appropriate for your particular circumstances. You rely on information on this website at your own risk.

Acceptable use

You may use this website only for lawful purposes. You must not use it in any way that is unlawful, that interferes with its operation or security, or that attempts to gain unauthorised access to any system connected to it.

Intellectual property

The content, layout, design, code, trade names, logos and marks on this website belong to Newt Dev (Pty) Ltd, or are used under licence, unless stated otherwise. You may read and share the content for your own information. You may not copy, reproduce, modify, distribute or use any of it commercially without our prior written permission, which we may refuse at our discretion.

Artificial intelligence outputs

Some of the software we build uses artificial intelligence to generate responses and automate tasks. Artificial intelligence can produce output that is inaccurate, incomplete or misleading, and may appear correct while being wrong. We make no warranty as to the accuracy, quality or suitability of any output generated by an artificial intelligence feature, and we do not guarantee that it will achieve any particular result. Such output should not be relied on without appropriate human review, particularly for any decision affecting money, legal rights or a person's wellbeing.

Third-party services

This website and the software we build rely on services provided by third parties, such as Meta Platforms for WhatsApp messaging and the providers of artificial intelligence models. These services are outside our control and are provided under their own terms. We are not responsible for their availability, or for the accuracy, legality or appropriateness of any output, data or service they provide. Any output passed through from a third-party service is provided as is by that provider.

Limitation of liability

To the fullest extent permitted by South African law, Newt Dev, its directors, employees and partners will not be liable for any direct, indirect, incidental, special, consequential or punitive loss or damage of any kind, including loss of profit, loss of data or business interruption, arising out of or in connection with your access to, use of, or inability to use this website, or your reliance on any information on it, whether the claim is based in contract, delict or otherwise, and whether or not we were advised of the possibility of such loss.

Indemnity

You indemnify and hold harmless Newt Dev, its directors, employees and partners against any claim, demand, loss, damage, cost or expense (including reasonable legal fees) arising out of or in connection with your use of this website or your breach of these terms. This clause survives any termination of your use of the website.

Governing law and disputes

These terms, and any dispute arising from them or from your use of this website, are governed by and construed in accordance with the laws of the Republic of South Africa. The parties will first attempt to resolve any dispute amicably by negotiation before pursuing any other remedy. The parties consent to the non-exclusive jurisdiction of the Magistrates' Court of the Republic of South Africa.

General

These terms are the entire agreement between you and Newt Dev regarding your use of this website. If any provision is found to be invalid or unenforceable, it is severed and the remaining provisions continue in full force. Our failure to enforce any right does not waive it. Any notice to Newt Dev may be sent using the contact details provided elsewhere on this website.
